Nvidia is executing a sweeping multibillion-dollar move to expand its AI development stack, committing $6 billion to license model-training infrastructure from startup Poolside alongside a separate $1 billion direct equity investment.

According to reports from Bloomberg, The Wall Street Journal, and Newcomer, the transaction centers on a non-exclusive license for Poolside's "Model Factory" technology. As part of the arrangement, Nvidia is also extending employment offers to 109 Poolside personnel who worked directly on the platform.

Expanding Beyond Silicon

The standalone $1 billion equity injection values Poolside at $12 billion on a pre-money basis, signaling substantial institutional backing for the developer-focused AI venture even as Nvidia absorbs a significant portion of its core technical team.

Nvidia plans to direct the incoming technology and engineering talent toward Nemotron, its proprietary family of open-weight models. While the semiconductor heavyweight remains the dominant supplier of AI accelerators worldwide, the transaction reflects an aggressive push to control the software and architectural layers that dictate how next-generation foundation models are trained.

Countering Open-Source Pressure

The move also arrives amid mounting competitive pressure from Chinese research labs, most notably DeepSeek, whose recent cost-effective open releases have challenged Western assumptions about the compute expenditures required to achieve frontier-level performance. By upgrading its own open models, Nvidia aims to anchor enterprise developers to its broader software ecosystem.

The structure of the agreement closely mirrors recent "reverse acqui-hire" transactions across the AI sector, in which major tech incumbents license key assets and absorb critical technical teams to circumvent the antitrust scrutiny associated with outright acquisitions.
